| Description: | In the current situation in the Russian and foreign industry, the efficiency of industrial corporations plays an important role. In today’s world, the corporation is the dominant form of money management, so the effectiveness of corporate governance and control systems evoke an increasing interest. Modern corporate governance a complex set of relationships between a corporation owners, senior executives, managers, and other stakeholders. Regulation this relationship legal norms, internal documents and multi-level governance structure that it allows the corporation to realize its corporate capacity to accumulate a competitive advantage, increase the cost corporate performance, as well as to protect the interests of shareholders. Subject of research the complex of theoretical and methodological provisions of the integrate approach to the formation and performance evaluation system of corporate governance On the basis of the expert survey and experience of building corporate management systems, we identified the main conflicts of interest that are relevant for Russian companies today. We considered the problems of implementation and adaptation of the traditional corporate governance, emphasis on system management approaches that integrate corporate strategy, competency characteristics and resource potential of the corporation. Requirements of corporate governance systems leads sooner or later to the decentralization of power. With increasing conflicts within the corporation, the shareholders in order have to achieve performance forced to reallocate administrative resources in favor of the establishment of institutional mechanisms to protect their own positions. Modern corporate management puts in first place the development of the traditional ways to manage or adapt foreign corporate control systems. The fact is that corporate control is not a new idea today, and emerging issues to enhance the protection of shareholders, may be found in the integration of concepts allows the system to look at corporate governance from the perspective of corporate strategies, the characteristics of competency, as well as corporate resources. На основе экспертного опроса и обобщения опыта построения систем корпоративного управления определены основные факторы эффективности, выделены основные конфликты интересов, которые являются актуальными для российских корпораций сегодня. Рассмотрена проблематика внедрения и адаптация традиционных методов управления корпорациями, сделан акцент на системные подходы управления, объединяющие корпоративные стратегии, компетентностные характеристики, а также ресурсный потенциал корпорации. Предложены рекомендации по повышению защиты интересов акционеров в процессе внедрения организационных независимых органов управления, способствующие уменьшению влияния негативных факторов на эффективность корпоративного управления. |
