| Description: | In the article, the author analyzes the general and distinctive features that make it possible to distinguish between contractual structures enshrined in the Civil Code of the Russian Federation such as an option to conclude a contract and an option contract. It was revealed that, despite the differences in the implementation of the option mechanism in civil law relations, these contractual structures are close to each other according to a number of similar features: they provide for the right, upon the occurrence of certain conditions, to set specific requirements to the counterparty and, as a rule, availability paid. В статье автор проводит анализ общих и отличительных признаков, позволяющих разграничивать закрепленные в ГК РФ такие договорные конструкции как опцион на заключение договора и опционный договор. Выявлено, что, несмотря на различия в реализации опционного механизма в гражданско-правовых отношениях, данные договорные конструкции близки друг другу по ряду схожих признаков: предусматривают право при наступлении определенных условий выставить конкретные требования контрагенту и, как правило, возмездность. |
